By accessing or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Platform.

1. Eligibility

You must be at least 18 years of age to create an account and use the Platform. By agreeing to these Terms, you represent and warrant that you meet this age requirement and that you have the legal capacity to enter into a binding agreement. If you are accessing the Platform on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2. Account Registration

To access certain features of the Platform, you may be required to register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated at all times.

You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at support@nagaxuy.com if you suspect any unauthorised access to or use of your account. We are not liable for any loss or damage arising from your failure to safeguard your credentials.

3. Platform Access and Permitted Use

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for your personal, non-commercial educational purposes.

You agree not to:

Use the Platform for any unlawful purpose or in violation of any applicable laws or regulations
Copy, reproduce, distribute, transmit, publish, or sell any content from the Platform without our prior written consent
Attempt to gain unauthorised access to any part of the Platform, its systems, or networks
Use automated tools, bots, scrapers, or similar technologies to extract data from the Platform
Interfere with or disrupt the integrity or performance of the Platform or its infrastructure
Impersonate any person or entity or misrepresent your affiliation with any person or entity
Upload, post, or transmit any content that is harmful, offensive, defamatory, or infringes the rights of any third party

4. Intellectual Property

All content available on the Platform, including but not limited to masterclass recordings, instructional materials, text, graphics, logos, images, audio, video, and software, is the exclusive property of Nagaxuy or its content licensors and is protected by applicable intellectual property laws.

Your access to content on the Platform does not transfer any ownership rights to you. You may not reproduce, modify, create derivative works from, publicly display, or otherwise exploit any Platform content without our express written permission.

If you submit feedback, suggestions, or other communications to us regarding the Platform, you grant us a perpetual, irrevocable, royalty-free licence to use such submissions for any purpose without any obligation to you.

5. Course Enrolment and Payments

5.1 Enrolment

Enrolment in a masterclass or learning programme on the Platform is subject to availability and the specific terms presented at the time of purchase. Completion of enrolment constitutes your agreement to any additional terms applicable to that programme.

5.2 Pricing and Payment

All fees are displayed on the Platform and are quoted inclusive of applicable taxes where required. Payment must be completed in full before access to purchased content is granted. We reserve the right to modify pricing at any time, provided that changes do not affect confirmed purchases.

5.3 Refunds

Refund eligibility is determined by the refund policy applicable at the time of your purchase, which is presented during the checkout process. Requests for refunds must be submitted to support@nagaxuy.com within the timeframe specified in that policy. We reserve the right to deny refund requests that do not meet the stated criteria.

6. User-Generated Content

Certain areas of the Platform may allow you to submit, post, or share content such as comments, questions, or discussion contributions. By submitting such content, you grant us a worldwide, non-exclusive, royalty-free licence to use, display, reproduce, and distribute that content in connection with the operation of the Platform.

You are solely responsible for any content you submit and represent that such content does not violate any third-party rights or applicable laws. We reserve the right to remove any user-generated content at our discretion without notice.

7. Third-Party Links and Services

The Platform may contain links to third-party websites, tools, or services that are not owned or controlled by us. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party services. The Platform and all content provided through it are offered on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that the Platform will be uninterrupted, error-free, or free of harmful components.

Content on the Platform is intended for educational and informational purposes only. We do not guarantee any specific outcome, result, or level of success from participation in any masterclass or learning programme. Individual results will vary based on personal effort, background, and circumstances.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Nagaxuy, its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of or inability to use the Platform, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claims arising under these Terms shall not exceed the total amount paid by you to us in the twelve months preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Nagaxuy and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to your use of the Platform, your violation of these Terms, or your infringement of any rights of a third party.

11. Termination

We reserve the right to suspend or terminate your account and access to the Platform at our sole discretion, without notice or liability, for any reason including but not limited to your breach of these Terms. Upon termination, all licences granted to you under these Terms will immediately cease.

You may terminate your account at any time by contacting us at support@nagaxuy.com. Termination does not entitle you to a refund except as provided under our applicable refund policy.

12. Modifications to the Platform and Terms

We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time without notice or liability. We also reserve the right to update these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page and may notify you through the Platform or by email.

Your continued use of the Platform following the posting of updated Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must stop using the Platform.

13. Privacy

If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms applicable to specific programmes or features, constitute the entire agreement between you and Nagaxuy regarding your use of the Platform and supersede all prior agreements, representations, or understandings relating to the same subject matter.
